Terms & Conditions

1.1 Scope of Services: We provide fabric sourcing, pattern making, sample development, small batch manufacturing, and quality control services for fashion designers and brands.

1.2 Custom Projects: Each project is quoted individually based on specifications, materials, and production requirements. All quotes are valid for 30 days unless otherwise specified.

1.3 Minimum Orders: While we offer "No MOQ" fabric sourcing, manufacturing services may have minimum quantities depending on the complexity and factory requirements.

2.1 Payment Schedule: Projects require a 50% deposit to commence, with the balance due upon completion before shipment.

2.2 Sample Payments: Sample development fees are non-refundable and must be paid in full before production begins.

2.3 Currency: All payments are processed in USD unless otherwise agreed in writing.

2.4 Late Payments: Overdue accounts may incur a 2% monthly service charge and may result in project delays or suspension.

3.1 Client Ownership: You retain 100% ownership of your original designs, patterns, and intellectual property.

3.2 Confidentiality: We maintain strict confidentiality regarding your designs and business information. We do not share or reproduce your designs without explicit written consent.

3.3 Non-Disclosure: All parties involved in production are bound by non-disclosure agreements to protect your intellectual property.

4.1 Sample Approval: Production will not commence until you provide written approval of samples.

4.2 Quality Standards: We maintain professional quality control standards. However, handmade items may have minor variations that are considered normal.

4.3 Inspection Period: You have 7 days from delivery to inspect goods and report any quality issues.

5.1 Shipping Terms: All goods are shipped FOB Shenzhen unless otherwise specified. Shipping costs are additional and borne by the client.

5.2 Delivery Times: Production timelines are estimates based on current capacity. Delays due to material availability or factory scheduling are beyond our control.

5.3 Risk Transfer: Risk of loss or damage transfers to you upon shipment from our facilities.

6.1 Cancellation Policy: Projects may be cancelled before production begins with written notice. Deposits for cancelled projects are non-refundable but may be applied to future orders within 12 months.

6.2 Custom Items: Custom-made items cannot be returned unless there are quality defects or deviations from approved specifications.

6.3 Material Returns: Fabric and materials cannot be returned once cut or processed.

7.1 Liability Cap: Our total liability for any claim is limited to the amount paid for the specific project in question.

7.2 Consequential Damages: We are not liable for indirect, incidental, or consequential damages including lost profits or business opportunities.

7.3 Force Majeure: We are not responsible for delays or failures due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or supply chain disruptions.

8.1 Jurisdiction: These terms are governed by the laws of the People's Republic of China and the jurisdiction of Shenzhen courts.

8.2 Dispute Resolution: We encourage good faith negotiation to resolve any disputes. If necessary, disputes will be resolved through binding arbitration.

8.3 Language: The English version of these terms takes precedence over any translations.
